IF YOU DO NOT AGREE WITH ANY PORTION OF THESE TERMS, YOU MUST NOT ACCESS THE WEBSITE OR PURCHASE OR USE OUR PRODUCTS OR SERVICES.

Where specific terms are expressly stated on an applicable product sales page, checkout page, course registration page, or written agreement, those terms will supplement these Terms. In the event of a direct conflict concerning a specific purchase, the more specific terms disclosed and agreed to at the time of purchase will govern that purchase, except where otherwise required by applicable law.

2. PRIVACY POLICY

Your use of the Website is also subject to our Privacy Policy.

Please review our Privacy Policy, which also governs the Website and informs users of our data collection practices.

Your agreement to the Privacy Policy is hereby incorporated into these Terms.

You may use the Website for lawful purposes only.

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Website.

You agree to use the Website and purchase services or products through the Website for legitimate, non-commercial purposes only, except for internal business or professional use expressly permitted under an applicable license.

You shall not post or transmit through the Website any material that:

  • Violates or infringes upon the rights of others.

  • Is threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable.

  • Contains injurious formulas, recipes, or instructions.

You may not use the Website, Company products, educational materials, or services for unlawful, fraudulent, misleading, or unauthorized purposes.

6. USE OF FREE DOWNLOADABLE CONTENT

We may make resources on this Website accessible to users in exchange for providing an email address (“Gated Content”).

We grant you a limited, personal, non-exclusive, non-transferable license to use Gated Content for your own personal or internal business use.

Except as otherwise expressly provided, you acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or otherwise exploit Gated Content.

You agree that you may only use Gated Content for your personal or internal business use.

You further agree that you will not:

  • Sell or redistribute Gated Content.

  • Create derivative works based upon Gated Content.

  • Offer competing products or services based upon information contained in Gated Content.

  • Share Gated Content in a manner that violates the license granted by the Company.

All intellectual property rights in Gated Content remain with the Company or its respective licensors.

7. MATERIAL YOU SUBMIT TO THE WEBSITE

By posting, uploading, submitting, inputting, providing, or otherwise making available any artwork, photographs, written works, or other media, including feedback and suggestions (collectively, “Submissions”), you grant us, our affiliated companies, and necessary sublicensees a worldwide, non-exclusive, irrevocable license to use your Submission for promotional, business development, and marketing purposes.

This license includes, without limitation, the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission and to publish your name in connection with your Submission.

We claim no ownership of your intellectual property rights in your Submissions. You retain copyrights and other rights you may rightfully hold.

You shall not upload, post, submit, input, or otherwise make available any Submission protected by copyright, trademark, or other proprietary rights without the express written permission of the rights holder.

The burden of determining whether a Submission is protected rests with you.

You shall be liable for damages resulting from infringement of copyrights, trademarks, other proprietary rights, or other harm arising from your Submission.

By making a Submission, you represent and warrant that you own or otherwise control all necessary rights, including authority to use and distribute the Submission, and that the Company's contemplated use will not violate applicable laws, regulations, or third-party rights.

You agree to hold us harmless from claims, liabilities, and expenses arising from potential or actual copyright or trademark misappropriation or infringement relating to your Submissions.

You further grant us the right to use your Submission to improve our Website, products, or services and for other lawful business purposes without compensation.

We are under no obligation to post or use any Submission and may remove a Submission at our sole discretion.

Unsolicited ideas submitted to the Company will be deemed non-confidential, and we are not required to acknowledge their source.

Nothing in this section requires participants to disclose confidential patient information, protected health information, or information that would violate professional confidentiality obligations.

Participants must not submit identifiable patient or client information without appropriate legal authorization.

8. OUR INTELLECTUAL PROPERTY

The Website and Company products contain intellectual property owned by us or our licensors, including trademarks, copyrights, proprietary information, and other intellectual property.

We reserve all rights in and to our common-law and registered trademarks, service marks, copyrights, and other intellectual property rights, including but not limited to text, graphics, photographs, video, design, packages, courses, recordings, presentations, worksheets, templates, handouts, and downloadable resources (“IP”).

You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce, perform, or otherwise exploit our IP in whole or in part without prior written consent.

We reserve the right to immediately block your access to the Website and remove you from any product or service, without refund to the extent permitted by law, if you violate this intellectual property policy.

You are granted a non-exclusive, non-transferable, revocable license to access and use the Website and resources available for download (“Content”) strictly in accordance with these Terms.

As a condition of use, you warrant that you will not use Content for unlawful or prohibited purposes.

You may not use Content in any manner that could damage, disable, overburden, or impair the Website or interfere with another party's use and enjoyment.

You may not obtain or attempt to obtain materials or information through means not intentionally made available through the Website.

All Content, including text, graphics, logos, images, compilations, and software, is the property of the Company or its licensors and is protected by copyright and other intellectual property laws.

You agree to observe all copyright notices, proprietary notices, legends, and restrictions contained in Company Content.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or otherwise exploit Content in whole or in part.

Your use does not authorize unauthorized use of protected material, and you agree not to remove or alter proprietary rights or attribution notices.

You may use protected Content solely for individual or expressly permitted internal business use and may not otherwise use Content without written permission from the Company or copyright owner.

You acknowledge that you acquire no ownership rights in protected Content.

No express or implied license to intellectual property is granted except as expressly authorized by these Terms.

Our name, logo, slogan, related names, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors.

You may not use these marks without prior written permission.

All other names, logos, product and service names, designs, and slogans on the Website are trademarks of their respective owners.

9. DIGITAL PRODUCT PURCHASES AND ACCESS

9.1 Instant and Scheduled Access

Upon successful purchase, you will receive access to the available digital content, course platform, resources, links, and/or customer instructions associated with your purchase, as specified on the applicable product sales page.

Certain products may include content delivered immediately, released on a scheduled basis, or provided through live sessions.

Any scheduled release dates, live session dates, or dates of full content availability will be communicated on the applicable product sales page or through official course communications.

By completing your purchase, you acknowledge and agree to the content delivery schedule and access terms disclosed at the time of purchase.

All products are delivered digitally unless otherwise expressly stated on the applicable sales page.

No physical items will be shipped unless specifically indicated.

9.2 Product Descriptions and Included Materials

Each product may include different features, materials, resources, training components, support options, and access periods.

The specific items included in your purchase are those expressly identified on the applicable product sales page or checkout page at the time of purchase.

Purchasing one product does not automatically provide access to other products, programs, courses, memberships, coaching services, or future updates unless expressly stated.

9.3 Access Credentials

Access credentials are issued for use by the individual purchaser or authorized registered participant.

You are responsible for maintaining the confidentiality and security of your account credentials.

You may not provide your login credentials to another person or allow unauthorized access to your account.

You agree to notify the Company if you become aware of unauthorized access to your account.

9.4 Access Restrictions

The Company may suspend, restrict, or revoke access when it reasonably determines that a user has violated these Terms, engaged in unauthorized sharing, compromised platform security, or misused Company intellectual property.

Where appropriate, access may be restricted without prior notice.

Revocation of access for violations does not entitle the purchaser to a refund except where required by applicable law.

10. NO REFUNDS, EXCHANGES, OR CANCELLATIONS

ALL SALES OF DIGITAL PRODUCTS, COURSES, TRAININGS, WORKSHOPS, DOWNLOADABLE RESOURCES, AND OTHER DIGITAL EDUCATIONAL OFFERINGS ARE FINAL, SUBJECT TO APPLICABLE LAW AND ANY EXPRESSLY STATED PRODUCT-SPECIFIC EXCEPTIONS.

Due to the digital nature of these products, no refunds, exchanges, or cancellations will be issued once a product has been accessed, except where required by applicable law.

By purchasing, you acknowledge that digital materials may be made available immediately or according to a published release schedule.

You are responsible for reviewing the applicable product description, prerequisites, course details, access terms, and purchase conditions before completing your order.

Failure to use, access, attend, complete, or benefit from a purchased product or course does not, by itself, establish eligibility for a refund.

Failure to satisfy continuing education completion requirements or qualify for continuing education credit does not, by itself, establish eligibility for a refund.

The Company reserves the right to review exceptional circumstances on a case-by-case basis without establishing an obligation to provide refunds in other circumstances.

Nothing in this policy limits any non-waivable refund, cancellation, consumer protection, or other statutory rights.

11. PERSONAL USE ONLY AND SINGLE-USER LICENSE

Unless expressly authorized otherwise in writing, your purchase grants you a limited, non-exclusive, non-transferable, revocable, single-user license for personal educational and professional development use.

You may not:

  • Share, redistribute, sublicense, or resell the product.

  • Grant access to colleagues, employees, teams, friends, or other individuals.

  • Upload materials to shared drives, public forums, learning management systems, or other shared platforms.

  • Reproduce or distribute course recordings, handouts, worksheets, templates, or educational resources.

  • Use Company materials to create competing products, courses, workshops, or training programs.

  • Record, download, capture, or reproduce protected content except where expressly permitted.

  • Represent Company materials as your own original work.

The license permits the individual purchaser to apply knowledge gained through the product in their own professional practice, subject to applicable professional obligations and restrictions on reproducing or distributing Company materials.

Unauthorized use may result in immediate revocation of access without refund, subject to applicable law, and may result in legal action.

12. NO SHARED USE

Company digital products are intended for individual use unless the applicable sales page expressly offers a group, institutional, or multi-user license.

Each individual seeking access must obtain their own authorized registration or license.

If unauthorized sharing, multiple-user access, account transfers, or credential distribution is detected, the Company reserves the right to restrict or remove access immediately without prior notice.

Any applicable group or institutional licensing arrangement must be expressly authorized by the Company.

13. LIFETIME ACCESS DISCLAIMER

Certain products may be advertised as including “lifetime access.”

For purposes of these Terms, lifetime access means access for as long as the Company continues to operate and maintain the applicable product or platform, subject to the terms disclosed at the time of purchase.

Lifetime access does not guarantee perpetual access or that a product, platform, or course will remain available indefinitely.

If the Company is sold, acquired, discontinues a product, ceases operations, or is otherwise unable to continue providing access, access is not guaranteed and may be revoked, subject to applicable law and any enforceable commitments made at the time of purchase.

The Company may also update, replace, modify, or discontinue particular course components or platform features.

Lifetime access does not automatically include future editions, additional courses, live events, coaching, certifications, continuing education reporting, or newly developed resources unless expressly included in the original purchase.

For products not expressly advertised as including lifetime access, the access period will be determined by the applicable product sales page.

14. COMPATIBILITY AND TECHNOLOGY REQUIREMENTS

You are responsible for ensuring that your device, internet connection, software, and other technology are compatible with the applicable digital product or course platform before purchasing.

Products may require internet access, supported browsers, video playback capabilities, email access, third-party software, or virtual meeting platforms.

The Company is not responsible for technical difficulties arising from incompatible devices, outdated software, insufficient internet connectivity, or other issues outside its reasonable control.

The Company does not guarantee uninterrupted access to third-party platforms or software.

15. LIVE COURSES, WORKSHOPS, AND VIRTUAL EVENTS

Certain products may include live online trainings, virtual workshops, webinars, interactive sessions, or other scheduled educational activities.

Dates, times, participation requirements, and access instructions will be communicated on the applicable sales page or through official course communications.

You are responsible for reviewing the event schedule and attending at the designated time.

The Company may make reasonable changes to instructors, session schedules, delivery methods, or other operational details when necessary.

If a live event is rescheduled, the Company will provide updated information through an appropriate communication channel.

A recording, replay, alternative session, or other accommodation may be provided at the Company's discretion or as otherwise required by applicable law or a specific purchase commitment.

The availability of recordings is not guaranteed unless expressly included in the product description.

Participation in live events does not automatically entitle participants to continuing education credit.

16. ASHA CONTINUING EDUCATION COURSES

16.1 Applicability

Certain educational offerings may be registered with the American Speech-Language-Hearing Association Continuing Education program (“ASHA CE”).

Only courses expressly identified as registered for ASHA CEUs are represented as eligible for ASHA CEUs.

Not all courses, workshops, webinars, resources, or other products offered by Co-Treat Corner, LLC are registered for ASHA CEUs.

Any applicable ASHA CEU information, including the number of CEUs, course level, instructional format, and participation requirements, will be communicated through the relevant course information and disclosures.

16.2 Purchasing a Course Does Not Guarantee ASHA CEUs

Purchasing, registering for, accessing, or attending a course does not automatically guarantee that a participant will earn ASHA CEUs.

Participants must satisfy all applicable requirements established for the course and relevant ASHA CE program requirements.

These requirements may include participation, attendance verification, learning assessments, completion evaluations, required documentation, and applicable completion deadlines.

16.3 Course Completion Requirements

Participants are responsible for reviewing and satisfying the completion requirements communicated for each course.

Depending on the course, these may include:

  • Attending or viewing required instructional content.

  • Completing required learning activities.

  • Meeting attendance or participation verification requirements.

  • Completing assessments or demonstrating achievement of learning outcomes.

  • Submitting required course evaluations.

  • Providing accurate participant information and completing applicable CEU reporting procedures.

  • Meeting published deadlines.

The specific requirements for each course will be communicated in the applicable course materials, registration information, or official participant instructions.

The Company reserves the right to decline to report course completion when a participant has not satisfied applicable requirements.

16.4 Participant Responsibility for ASHA CEU Reporting

Participants are responsible for providing accurate identifying information and completing any required procedures necessary for ASHA CEU reporting.

The Company will administer and report eligible course completions in accordance with applicable ASHA CE Provider requirements.

Participants acknowledge that reporting eligibility may depend on the course's registration status, successful completion, submission of required information, and applicable ASHA CE procedures.

The Company is not responsible for reporting difficulties caused by inaccurate information provided by participants or a participant's failure to satisfy published requirements, except to the extent caused by the Company's own error or obligations.

16.5 ASHA CEUs and Professional Licensure

ASHA CEUs are not a guarantee of professional licensure, certification renewal, professional competency, employment eligibility, or acceptance by any particular licensing board or regulatory agency.

Participants are solely responsible for determining whether a course meets the requirements of their applicable state licensing board, certification organization, employer, or other regulatory authority.

Requirements may vary by jurisdiction and professional credential.

16.6 Course Registration and CEU Availability

A course's eligibility for ASHA CEUs depends on its applicable registration and the requirements governing that offering.

Course access may continue beyond the period during which ASHA CEUs are available, depending on the applicable course registration, reporting arrangements, and access terms.

Lifetime access to educational content does not guarantee lifetime eligibility to earn or report ASHA CEUs.

Participants must complete all applicable requirements within the communicated eligibility and reporting periods.

16.7 Course Modifications and Educational Integrity

The Company may make reasonable updates to course materials to reflect developments in research, clinical practice, technology, or educational standards.

When a course is registered for ASHA CEUs, any changes affecting its registered educational offering will be handled in accordance with applicable ASHA CE Provider requirements.

The Company reserves the right to verify attendance, assessment completion, and other relevant records to protect the integrity of continuing education reporting.

16.8 Professional Responsibility

Continuing education is intended to support professional learning and development.

Participation does not establish that a participant is qualified to perform any particular clinical procedure or service.

Participants are responsible for practicing within their professional scope, competence, applicable laws, and professional standards.

17. FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY

The information contained on the Website and within Company courses, products, programs, and services is provided for general educational and informational purposes only.

It should not be construed as legal advice, financial advice, health advice, medical advice, business advice, or individualized professional advice.

Information provided is not a substitute for advice from a qualified professional familiar with the facts and circumstances of your individual situation.

We expressly recommend seeking advice from an appropriately qualified professional regarding your specific circumstances.

Educational materials addressing clinical practice, professional development, or business operations do not replace independent professional judgment or applicable standards of practice.

18. NO PROFESSIONAL-CLIENT RELATIONSHIP

No coach-client relationship is formed by consuming Company content or interacting with Daj'za Mitchell of Co-Treat Corner, LLC unless and until a separate written agreement expressly establishing such a relationship is executed.

Similarly, accessing educational content does not create a therapist-client, clinician-patient, attorney-client, financial adviser-client, or other individualized professional relationship with the Company or its instructors.

19. USER'S PERSONAL RESPONSIBILITY

By purchasing a course or product, accepting these Terms, or consuming Company content, you agree to exercise independent judgment and conduct appropriate due diligence before acting upon or implementing information, strategies, advice, or recommendations.

You agree to take responsibility for decisions you make and actions you take based upon the use or non-use of Company information, products, and services.

To the extent permitted by applicable law, you assume the risks associated with implementing information provided through Company educational offerings.

You acknowledge that individual circumstances vary and that the Company cannot guarantee the suitability of any strategy, recommendation, or technique for your particular situation.

20. TESTIMONIALS DISCLAIMER

Although testimonials presented by the Company are intended to reflect truthful statements about results obtained by Co-Treat Corner, LLC clients or customers, these results are not necessarily typical.

Testimonials are not a guarantee of results that you or anyone else will obtain by using Company products or services.

Your results depend on your effort, particular situation, experience, resources, and other circumstances beyond the Company's control or knowledge.

Testimonials and participant feedback should not be interpreted as guarantees of clinical, professional, financial, or business outcomes.

21. EARNINGS DISCLAIMER

Any information shared regarding the success of Co-Treat Corner, LLC or its clients, customers, or students is intended to demonstrate possible outcomes and does not constitute a promise or guarantee of results.

There is no guarantee that you will earn money or achieve any particular level of business success, earnings, or revenue by implementing techniques, strategies, or ideas taught by the Company.

As with any business, results vary based on numerous factors beyond our control, including individual capacity, effort, financial condition, business experience, expertise, and market conditions.

Your use of Company information, products, and services should be based upon your own due diligence and is undertaken at your own risk.

To the extent permitted by applicable law, you agree that the Company is not liable for the success or failure of your business, whether directly or indirectly related to your purchase or use of Company information, products, or services.

22. AFFILIATE DISCLOSURE

Certain Company courses, products, services, or Website pages may contain affiliate links.

If you purchase a product or service through an affiliate link, the Company or its representatives may receive a commission or other compensation.

Affiliate links may reflect recommendations of products or services that the Company believes may be beneficial to its audience.

The existence of an affiliate relationship does not guarantee the quality, suitability, or results of any third-party product or service.

Participants and customers are responsible for evaluating third-party products and services independently.

23. CHANGED TERMS

We may amend these Terms, including our Privacy Policy and Disclaimers, from time to time.

The date of the most recent revision will be indicated by the “Last Updated” date at the beginning of this document.

Changes will generally become effective upon posting on the Website, unless a different effective date is stated or applicable law requires otherwise.

We reserve the right to update any portion of the Website and these Terms.

Your continued use of the Website after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

Material terms governing an already completed purchase, including agreed access periods, refund rights, and expressly promised product features, will not be retroactively altered solely by posting revised Terms where additional consent or other legal requirements apply.

24. NO WARRANTIES

While we make reasonable efforts to ensure that Website content is free from errors, we do not provide any warranty or assurance regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of Website content or materials beyond reasonable efforts to maintain the Website.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND RELATED INFORMATION, PRODUCTS, RESOURCES, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES, REPRESENTATIONS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

Nothing in this section excludes warranties or legal protections that cannot lawfully be excluded.

25. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE COMPANY SHALL NOT BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES ARISING OUT OF YOUR USE OF THE WEBSITE OR RESOURCES, PRODUCTS, OR SERVICES AVAILABLE THROUGH THE WEBSITE, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.

Additionally, to the maximum extent permitted by law, we are not liable for damages connected with:

  1. Failure of performance, errors, omissions, denial-of-service attacks, interruptions, deletion, defects, delays in operation or transmission, computer viruses, or line or system failures.

  2. Loss of revenue, anticipated profits, business, savings, goodwill, or data.

  3. Third-party theft, destruction, unauthorized access, alteration, or use of your information or property.

These limitations are intended to apply to claims arising in negligence, contract, tort, or other theories of legal liability, including circumstances in which damages were foreseeable or the Company was advised of their possibility, to the extent such limitations are legally enforceable.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for conduct for which exclusions are prohibited.

In jurisdictions that do not permit particular exclusions or limitations of liability, our liability will be limited to the fullest extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL PURCHASE PRICE OF THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

26. NO GUARANTEE OF AVAILABILITY

Your use of the Website and associated services may be subject to interruptions or delays.

We reserve the right to withdraw or amend the Website and services or materials provided through it at our discretion, subject to applicable law and existing contractual commitments.

Due to the nature of the internet and electronic communications, neither the Company nor its service providers warrant that the Website, associated resources, or services will be free from errors, interruptions, delays, or defects.

To the maximum extent permitted by law, we are not liable for temporary unavailability, interruption, or delay.

From time to time, we may restrict access to portions of the Website or the entire Website, including access by registered users.

Information provided on the Website or through downloadable resources is subject to change.

We make no representation or warranty that information, regardless of source, is accurate, complete, reliable, current, or error-free.

To the maximum extent permitted by law, we disclaim liability for inaccuracies, errors, and omissions in such information.

27. MALICIOUS CODE

Although we endeavor to prevent the introduction of viruses or other malicious code to the Website, we do not guarantee or warrant that the Website or data available through it is free from malicious code.

To the extent permitted by applicable law, we are not liable for damages or harm attributable to malicious code.

You are responsible for taking appropriate precautions to ensure that your access to the Website does not expose your computer systems or devices to interference or damage.

28. SECURITY

The security of your contact information is important to us.

However, you acknowledge the inherent risks of unauthorized access to or alteration of data transmitted or stored electronically.

To the maximum extent permitted by law, we disclaim responsibility for losses resulting from unauthorized access or alteration that are not attributable to a breach of our applicable legal obligations.

Information transmitted to or from the Website may be subject to internet-related risks.

You assume responsibility for taking reasonable measures to protect your devices, credentials, and information when accessing the Website.

To the extent permitted by law, we are not responsible for interference with or damage to your computer system arising from Website access or outbound hyperlinks.

Nothing in this section limits the Company's non-waivable obligations concerning privacy, data security, or legally required notifications.

29. THIRD-PARTY RESOURCES

The Website may contain links to external websites that are not provided by, maintained by, or affiliated with the Company.

We do not guarantee and are not responsible for the availability, accuracy, relevance, timeliness, or completeness of these external websites or their information.

Links to external websites or resources do not necessarily imply endorsement or affiliation.

You acknowledge responsibility for evaluating third-party websites and assume the risks associated with their use.

We may also provide information from third parties through guest posts, interviews, recordings, presentations, or other media.

We do not control all information provided by third-party guests, are not responsible for independently investigating every statement, and cannot guarantee the accuracy of information supplied by such guests.

30. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Co-Treat Corner, LLC and its authorized representatives from losses, damages, settlements, liabilities, costs, charges, assessments, expenses, and third-party claims or causes of action, including reasonable attorneys' fees, arising from:

  • Your breach of these Terms.

  • Your misuse of the Website, its content, or Company products and services.

  • Your violation of third-party intellectual property or other legal rights.

  • Your failure to maintain the confidentiality or security of passwords or access credentials.

  • Your unauthorized sharing, distribution, or reproduction of Company content.

  • Your unlawful or unauthorized Submissions.

You agree to provide reasonable assistance, without charge, in connection with the defense of covered claims, including relevant information, documents, records, and reasonable access to you as necessary.

You may not settle a third-party claim or waive a defense affecting the Company without prior written consent.

This provision applies only to the extent enforceable under applicable law.

31. EFFECT OF HEADINGS; SEVERABILITY

Section and subsection headings are included for convenience only and do not affect interpretation of these Terms.

If any portion of these Terms is determined to be unenforceable or contrary to law, that portion shall be interpreted or limited in accordance with applicable law to accomplish the objectives of the original provision to the fullest extent permitted.

The remaining provisions shall continue in full force and effect.

32. ENTIRE AGREEMENT; WAIVER

These Terms, together with the Privacy Policy, Disclaimers, applicable product-specific terms, and any expressly incorporated written agreements, constitute the entire agreement between you and the Company regarding the applicable Website use or purchase.

They supersede prior and contemporaneous agreements, representations, and understandings concerning the same subject matter, except where a separate signed agreement expressly governs.

Any waiver by the Company of a breach or right under these Terms shall not constitute a waiver of any other or subsequent breach or right.

No waiver shall be binding unless made in writing by an authorized representative of the Company.

33. GOVERNING LAW; JURISDICTION

These Terms, including the Privacy Policy and Disclaimers, shall be construed in accordance with and governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise.

Subject to applicable law, the courts of Illinois shall have jurisdiction to hear and determine disputes arising from these Terms.

You agree that proceedings relating to the use of the Website or these Terms must be filed exclusively in the appropriate courts located in Sangamon County, Illinois, to the extent legally permissible.

You consent to the jurisdiction of those courts and waive objections based on inconvenient forum or other grounds to the extent permitted by law.

34. ALTERNATIVE DISPUTE RESOLUTION

The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through mediation.

The parties further agree that their respective good-faith participation in mediation is a condition precedent to pursuing other available legal or equitable remedies, including litigation, arbitration, or other dispute resolution procedures, to the extent permitted by applicable law.

Nothing in this provision prevents either party from exercising rights or seeking relief that cannot lawfully be conditioned on mediation.
